Terms of Service

Welcome to Yoh. These Terms of Service (“Terms”) are a legally binding agreement between you (“you” or “User”) and Yoh (“we,” “us,” or “our”) governing your access to and use of the Yoh platform at https://yoh.app, including all related websites, applications, APIs, and services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction, whichever is higher) to use the Service. If you are between 13 and the age of majority in your jurisdiction, you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. By creating an account, you represent and warrant that you meet these requirements.

2. Account Registration

  • You must provide accurate, current, and complete information when creating an account and keep it up to date.
  • You are responsible for maintaining the confidentiality and security of your account credentials. You must not share your login information with any third party.
  • You are responsible for all activity that occurs under your account, whether or not authorized by you.
  • You must notify us immediately at support@yoh.app if you suspect unauthorized access to or use of your account.
  • We reserve the right to reclaim, suspend, or reassign usernames at our sole discretion.

3. The Service

Yoh provides an AI-powered platform for creating, editing, publishing, and monetizing video series and stories. Features include AI-assisted video and audio generation, timeline editors, episode publishing, creator storefronts, audience monetization tools, and related services.

We reserve the right to modify, update, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

4. Subscriptions & Billing

Free Tier

We offer a free tier of the Service with limited features. Free-tier access is subject to the content license terms described in Section 5 below. We may change, limit, or discontinue the free tier at any time.

Paid Subscriptions

Certain features require a paid subscription. By subscribing, you authorize us (via our payment processor, Stripe) to charge the applicable fees to your payment method on a recurring basis. Fees are stated at the time of purchase and are non-refundable except as required by applicable law or as expressly stated otherwise.

  • Auto-renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
  • Price changes: We may change subscription pricing with at least 30 days’ notice. Continued use after the new pricing takes effect constitutes acceptance.
  • Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; no partial refunds are provided.

Credits

Certain features of the Service, including AI-powered generation, consume credits. Credits may be included with a paid subscription, granted free of charge (for example, daily grants, referral rewards, or promotional bonuses), or purchased separately. You acknowledge and agree that:

  • Credits have no cash or monetary value, are not redeemable or refundable for cash, and may not be sold or transferred to any other person or account.
  • Purchased credits are non-refundable except as required by applicable law.
  • Free or promotional credits may be limited in supply, may expire, and may be modified or revoked by us at any time.
  • The number of credits required for a given feature may change at any time, including to reflect changes in our underlying provider costs.
  • If a generation fails due to an error on our side, we may return the credits charged for that generation; such returns are made in credits, not cash.
  • We may adjust credit balances to correct errors, to address fraud or abuse, or to reverse credits associated with refunded or disputed payments.

5. User Content & License Grants

Your Content

“User Content” means any videos, images, audio, text, prompts, stories, series, and other materials you create, upload, submit, or publish through the Service, including content generated with AI tools based on your inputs.

Ownership

As between you and Yoh, you retain ownership of your User Content, subject to the license grants below.

License Grant — All Users

By using the Service, you grant Yoh a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, cache, reproduce, display, distribute, and make available your User Content solely as necessary to operate, provide, and improve the Service (including technical operations such as encoding, transcoding, backup, and delivery).

Additional License Grant — Free-Tier & Unsubscribed Users

If you use the Service on the free tier or without an active paid subscription, you grant Yoh, in addition to the license above, a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, display, distribute, and create derivative works from your User Content for any purpose, including but not limited to:

  • Marketing, promotion, and advertising of the Service (e.g., showcasing user-created videos on our website, social media, or advertising materials).
  • Improving, training, and developing our AI models, algorithms, and related technologies.
  • Research, analytics, and product development.
  • Creating compilations, showcases, or demo reels featuring User Content.

This additional license survives termination of your account or these Terms. You acknowledge that content created on the free tier may be used by Yoh as described above, and you waive any right to compensation for such use. If you wish to limit Yoh’s rights to your content, you may do so by upgrading to a paid subscription, at which point the narrower operational license (above) will apply to content created after the subscription start date.

License Grant — Paid Subscribers

If you maintain an active paid subscription, the additional license described above does not apply to User Content created during your active subscription period. Your content created while subscribed is subject only to the operational license granted to all users. If your subscription lapses or is cancelled, User Content created after the lapse or cancellation is subject to the free-tier license terms.

Representations & Warranties

You represent and warrant that:

  • You own or have all necessary rights, licenses, and permissions to your User Content and to grant the licenses described in these Terms.
  • Your User Content does not infringe, misappropriate, or violate any third party’s intellectual property, privacy, publicity, or other rights.
  • Your User Content complies with all applicable laws and these Terms.

Content Removal

You may delete your User Content from the Service at any time. However, you acknowledge that (a) cached or archived copies may persist for a reasonable period, (b) content shared with or purchased by other users may remain accessible to them, and (c) any license granted prior to deletion (including the free-tier additional license) survives removal.

6. Prohibited Conduct

You agree not to:

  • Create, upload, or publish content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
  • Produce or distribute content that promotes violence, discrimination, or hatred against any individual or group based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or any other protected characteristic.
  • Create, distribute, or solicit child sexual abuse material (CSAM) or exploit minors in any way.
  • Infringe or misappropriate the intellectual property or proprietary rights of others.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Use the Service to generate deepfakes, non-consensual intimate imagery, or deceptive media intended to mislead.
  • Interfere with or disrupt the Service, servers, or networks connected to the Service.
  • Use automated means (bots, scrapers, crawlers) to access the Service except through our published APIs with proper authorization.
  • Attempt to gain unauthorized access to other users’ accounts or any non-public portions of the Service.
  • Use the Service for any illegal purpose or in violation of any applicable law or regulation.
  • Circumvent, disable, or otherwise interfere with any security, rate-limiting, or access-control features of the Service.

We reserve the right to remove any content and suspend or terminate accounts that violate these Terms, at our sole discretion and without prior notice.

7. AI-Generated Content

The Service uses artificial intelligence to generate or assist in generating video, audio, images, text, and other content based on your inputs and prompts. You acknowledge and agree that:

  • AI-generated outputs may not always be accurate, complete, appropriate, or free from errors or bias.
  • You are solely responsible for reviewing, editing, and ensuring that any AI-generated content you publish complies with applicable laws, third-party rights, and these Terms.
  • Ownership and licensing of AI-generated content is governed by Section 5 of these Terms.
  • Due to the nature of AI, outputs generated for different users using similar prompts may be substantially similar. We do not guarantee exclusivity of AI-generated content.
  • We may use your prompts and inputs (in anonymized or aggregated form) to improve our AI systems, as described in our Privacy Policy.

8. Payments & Monetization

Purchases

When you purchase content or subscriptions on Yoh, payments are processed by Stripe, Inc. All sales are final unless otherwise required by applicable law. You agree to Stripe’s Terms of Service when making payments.

Creator Earnings

Creators earn revenue from sales of their content. Yoh retains a platform fee (currently 15%) and distributes the remainder (85%) to creators via Stripe Connect. Payout schedules and minimums are subject to Stripe’s terms and applicable regulations.

We reserve the right to adjust the platform fee with at least 30 days’ notice. Creators are solely responsible for reporting and paying any applicable taxes on their earnings.

Chargebacks & Fraud

If a chargeback or dispute is filed against a transaction, we may debit the corresponding amount from the creator’s balance or future earnings. We reserve the right to suspend payouts pending investigation of suspected fraud or abuse.

9. Intellectual Property

The Service, including its design, source code, branding, logos, documentation, and all associated intellectual property, is owned by Yoh and protected by copyright, trademark, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of any part of the Service without our prior written permission.

“Yoh” and our logos are trademarks of Yoh. You may not use our trademarks without prior written permission.

10. Copyright Infringement & DMCA

We respect the intellectual property rights of others and expect our users to do the same. If you believe that content on the Service infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (DMCA) to our designated agent:

Your notice must include:

  • A description of the copyrighted work you claim has been infringed.
  • A description of the allegedly infringing material and its location on the Service.
  • Your contact information (name, address, phone number, email).
  • A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law.
  • A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner.
  • Your physical or electronic signature.

We may remove or disable access to allegedly infringing content and may terminate the accounts of repeat infringers.

11. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice. You may delete your account at any time through the Service settings or by contacting us. Upon termination:

  • Your right to use the Service ceases immediately.
  • We may delete your account data in accordance with our Privacy Policy.
  • Outstanding payment obligations survive termination (both owed to you and owed by you).
  • Sections that by their nature should survive termination will survive, including but not limited to Sections 5 (license grants), 9, 10, 12, 13, 14, 15, 16, and 17.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PURPOSE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL YOH, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO:

  • Your use of or inability to use the Service.
  • Any unauthorized access to or alteration of your data or transmissions.
  • Any content or conduct of any third party on the Service.
  • Any AI-generated content, including errors, inaccuracies, or unintended outputs.
  • Any other matter relating to the Service.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify, defend, and hold harmless Yoh and its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another party.

15. Dispute Resolution & Arbitration

Informal Resolution

Before filing any formal proceeding, you agree to first contact us at support@yoh.app and attempt to resolve any dispute informally for at least 30 days.

Binding Arbitration

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect. Arbitration will be conducted in English and shall take place in the State of Delaware or, at your election, remotely via video conference. The arbitrator’s award is final and binding and may be entered in any court of competent jurisdiction.

Class Action Waiver

YOU AND YOH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both you and Yoh agree otherwise in writing, the arbitrator may not consolidate more than one person’s claims and may not preside over any form of class or representative proceeding.

Exceptions

Notwithstanding the above, either party may bring an individual action in small claims court or seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

16. Governing Law

These Terms and any disputes arising hereunder are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.

17. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Yoh with respect to the Service and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to causes beyond our reasonable control, including but not limited to natural disasters, acts of government, pandemic, war, terrorism, labor disputes, power failures, internet or telecommunications failures, or third-party service outages.

Notices

We may provide notices to you via email to the address associated with your account, through the Service, or by posting on our website. Notices are effective upon sending (for email) or posting.

18. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days’ notice by email or prominent notice within the Service before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
